Terms And conditions

1. General

These terms govern the provision of engineering and technical services by Fact-Automation SARL, based in Nouakchott, Mauritania. By engaging our services, the client accepts these terms in full.

2. Scope of Services

Fact-Automation SARL provides qualified automation engineers for support during engineering, system testing, Factory Acceptance Tests (FAT), on-site commissioning, and structured training. The specific scope is defined per project agreement.

3. On-Site Requirement

Due to the safety-critical and complex nature of steel rolling plant operations, our services require physical presence at the client's site. Remote execution is not offered as a substitute for on-site supervision and commissioning activities.

4. Engineer Deployment

Our engineers work within the client's project team under agreed conditions Fact-Automation SARL remains responsible for the quality and conduct of its engineers. The client is responsible for providing safe working conditions, site access, and necessary equipment.

5. Project Agreements

All engagements are formalized through a written project agreement or purchase order defining scope, duration, location, and commercial terms. No work commences without written confirmation from both parties.

6. Fees and Payment

Fees are agreed per project and stated in the applicable project agreement. Invoices are payable within the period specified in the agreement. Late payments may be subject to applicable penalties.

7. Travel and Expenses

Travel, accommodation, and subsistence costs incurred during on-site assignments are either included in the agreed rate or reimbursed by the client, as specified in the project agreement.

8. Confidentiality

All technical, operational, and commercial information shared by the client is treated as strictly confidential. Our engineers do not disclose client data, plant configurations, or project details to third parties.

9. Intellectual Property

Any documentation, programs, or technical work produced by Fact-Automation SARL engineers during an engagement remains the property of the client upon full payment, unless otherwise agreed in writing.

10. Liability

Fact-Automation SARL is liable only for direct damages resulting from proven negligence by its engineers. Liability is limited to the value of the applicable project agreement. We are not liable for indirect, consequential, or production losses.

11. Force Majeure

Fact-Automation SARL is not liable for delays or failure to perform caused by circumstances beyond reasonable control, including but not limited to natural disasters, travel restrictions, strikes, or war.

12. Termination

Either party may terminate an engagement with written notice as specified in the project agreement. The client remains liable for fees and expenses incurred up to the termination date.

12. Governing Law

These terms are governed by the laws of Mauritania. Any disputes shall be resolved through negotiation in good faith. If unresolved, disputes shall be submitted to the competent courts of Nouakchott, Mauritania.
